Position Summary

The Analyst is tasked with maintaining dataflow and document request lists, production of financial schedules from target and/or client-provided data, conducting various financial and industry analyses, and constructing the framework of all major deal materials and client deliverables including: (i) quality of earnings reports; (ii) pitch books; and (iii) confidential information memoranda. Analysts are required to produce standardized firm materials as well as ad-hoc projects for Associates and other senior M&A professionals.

 

Tasks

Financial Due Diligence (60-70%):

Tasks:

  1. Analyze financial and operational results of targets through the preparation of various analyses by reviewing accounting records and conducting interviews with the target Company’s management;
  2. Communicate with target management to facilitate data flow (maintain document request lists and understand all data received vs outstanding);
  3. Prepare transaction data book schedules to facilitate analyses relating to adjusted EBITDA, net working capital, and debt and debt-like items;
  4. Prepare/evaluate pro forma financial information;
  5. Assist in identifying issues for purchase price reductions, deal restructuring, or deal termination. Assist in identifying pre/post-acquisition issues;
  6. Assist in drafting / preparing client deliverables (e.g., Quality of Earnings Report, data book schedules, etc.).

Corporate Finance (30-40%):

Tasks:

  1. Providing analytical, due diligence and transactional support for M&A, capital raising, restructuring, and other business assignments
  2. Developing pitch books and detailed presentation materials for clients, prospective clients, and transaction targets
  3. Analyzing data to assist current or prospective clients on actual or prospective transactions and strategies 
  4. Preparing complex financial analyses, reports, and models to evaluate various operating and transaction scenarios, as well as projecting the potential outcome of such scenarios
  5. Performing valuation analyses using discounted cash flows, public market and M&A comparable transaction multiples, and dilution analyses
  6. Researching potential buyers/investors, potential targets, market trends, and transaction opportunities 
  7. Participating in all stages of a transaction process, from the pitch through deal closing, including attending and traveling to client presentations and meetings 
  8. Utilizing Microsoft Word, Excel, and PowerPoint on a daily basis
  9. Performing such other duties and responsibilities as assigned

Skills

  1. Excellent Excel skills / experienced in quickly manipulating large datasets for the purposes of both analysis and presentation within client deliverables
  2. Strong attention to detail and ability to think through the logical “next step” of any given task
  3. Excellent written and verbal communication, organization, research, and time management skills
  4. Strong quantitative and technical skills with financial modeling training and/or experience preferred
  5. Creative mindset with ability to distill complex concepts into simple and elegant presentation 
  6. Able to learn quickly, multi-task, adapt to new assignments, and work long hours independently and in teams 
  7. Solid understanding of multiple industries (e.g., manufacturing, distribution, healthcare, software, etc.), capital markets, spreadsheet modeling, and financial statement analysis
  8. Personable team player, with the ability to gain the confidence and trust of both colleagues and clients

Experience and Education

 

  1. Minimum of 6 months experience in transaction services in a public accounting firm strongly preferred
  2. Minimum of 18 months of relevant external audit experience in a public accounting firm preferred
  3. Minimum of 24 months total experience within an accounting and/or finance-related role required
  4. At least a Bachelor's degree
